1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the website located at aorta.work (the "Site"), and any advertising management, marketing, or related services provided by AORTA, Inc. ("AORTA," "we," "us," or "our"), including our proprietary AI marketing agent, Artery AI, and any associated client dashboard (collectively, the "Services"). By accessing the Site, engaging AORTA for Services, or using Artery AI, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.
These Terms apply alongside any separate written agreement, statement of work, or proposal signed between you and AORTA. Where a signed agreement conflicts with these Terms, the signed agreement controls for the matters it covers.
2. Description of Services
AORTA provides psychology-driven, AI-powered advertising management services, including paid media management (such as Google Ads and Meta Ads), conversion-focused website and landing page development, email marketing, marketing automation, and access to Artery AI. The specific scope, deliverables, timeline, and fees for any engagement are set out in the applicable proposal, quote, or agreement provided to the Client.
3. Artery AI
Artery AI is a proprietary AI agent that plans, generates, and manages marketing assets, including but not limited to images, video, voice, copy, landing pages, and campaign strategy, using artificial intelligence models and automated pipelines (collectively, "AI Output").
3.1 AI-Generated Content Disclaimer
AI Output is generated algorithmically and may be inaccurate, incomplete, offensive, infringing, non-compliant with a given advertising platform's policies, or otherwise unsuitable for use without review. AORTA does not guarantee the accuracy, quality, originality, or legality of any AI Output. Clients are solely responsible for reviewing, editing, and approving all AI Output before it is published, distributed, or used in any live advertising campaign, website, or communication. AORTA is not responsible or liable for any content generated by Artery AI, or any consequence, claim, loss, or damage arising from a Client's decision to use, publish, or distribute AI Output, whether or not that content was reviewed by AORTA prior to use.
3.2 User Input & Prompts
Clients are responsible for any prompts, instructions, brand assets, or other input they provide to Artery AI ("User Input"), and for ensuring that User Input does not violate any law, infringe any third party's rights, or violate the acceptable use terms of any underlying AI model provider or advertising platform. AORTA reserves the right to refuse to generate, or to remove, any AI Output that appears to violate this section or any applicable law or platform policy.
3.3 No Professional Advice
AI Output, including any strategic recommendations, performance predictions, or analysis generated by Artery AI, is provided for informational and productivity purposes only and does not constitute legal, financial, medical, or other professional advice. Clients should seek appropriate professional advice before relying on AI Output for decisions carrying legal, financial, regulatory, or safety implications.
3.4 Third-Party AI Models
Artery AI may rely on third-party large language models and generative AI infrastructure to produce AI Output. AORTA is not responsible for outages, errors, biases, or limitations inherent to those third-party models.
4. Accounts & Client Access
If AORTA provides you with access to a client dashboard or Artery AI account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@aorta.work of any unauthorized use of your account.
5. Client Responsibilities
As a Client, you agree to:
- Provide accurate, current information necessary for AORTA to perform the Services, including access to relevant ad accounts, analytics, and brand assets;
- Review and approve creative, copy, and AI Output before it is published or goes live in any campaign;
- Ensure that your products, services, offers, and business practices comply with applicable law and the advertising policies of any platform used (including Google Ads and Meta Ads policies);
- Maintain your own ad account billing arrangements with Google, Meta, and any other platforms, unless otherwise agreed in writing; and
- Pay all fees owed to AORTA in accordance with the applicable proposal or agreement.
6. Intellectual Property
Unless otherwise agreed in writing, upon full payment, Clients receive ownership of final creative deliverables produced specifically for them (such as final ad creative, landing pages, and copy) for use in their own marketing. AORTA retains ownership of its underlying tools, systems, templates, frameworks, and Artery AI itself, including any improvements made to them, and nothing in these Terms transfers ownership of AORTA's proprietary technology to any Client. AORTA may showcase non-confidential work product (such as completed campaigns or case studies) for its own marketing and portfolio purposes unless the Client requests otherwise in writing.
7. Fees & Payment
Fees for Services are set out in the applicable proposal, quote, or agreement. Unless stated otherwise, fees are due as invoiced, and late payments may result in suspension of Services, including pausing active ad campaigns or dashboard access, until payment is received. Ad spend paid directly to advertising platforms (such as Google Ads or Meta Ads) is separate from, and in addition to, AORTA's management fees, unless otherwise specified.
8. No Guarantee of Results
Advertising and marketing performance depends on many factors outside AORTA's control, including market conditions, competition, platform algorithm changes, ad account history, and the Client's own offer, pricing, and operations. AORTA does not guarantee any specific level of leads, traffic, conversions, revenue, return on ad spend, or other results from the Services, including Artery AI, and any figures referenced in case studies, proposals, or marketing materials are illustrative of past results only and are not a promise of future performance.
9. Disclaimer of Warranties
The Site, Services, and Artery AI (including all AI Output) are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. AORTA does not warrant that the Site or Services will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the fullest extent permitted by law, AORTA, its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site, the Services, or Artery AI (including any AI Output), even if AORTA has been advised of the possibility of such damages. To the fullest extent permitted by law, AORTA's total aggregate liability arising out of or related to the Services will not exceed the total fees paid by the Client to AORTA in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless AORTA and its officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site, Services, or Artery AI; (b) any AI Output you approve, publish, or distribute; (c) any User Input you provide; (d) your breach of these Terms; or (e) your violation of any law or third party's rights.
12. Third-Party Platforms
The Services rely on third-party advertising and technology platforms, including Google Ads, Google Analytics, and Meta Ads, which are governed by their own terms of service and policies. AORTA is not responsible for outages, policy changes, account suspensions, or other actions taken by these third-party platforms, even where they affect a Client's campaigns.
13. Termination
Either party may terminate an engagement in accordance with the notice terms set out in the applicable proposal or agreement. AORTA reserves the right to suspend or terminate access to the Site, Services, or Artery AI dashboard at any time for conduct that violates these Terms, is fraudulent, or exposes AORTA or its other clients to risk. Sections of these Terms that by their nature should survive termination (including Sections 6, 8, 9, 10, and 11) will survive.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction there.
15. Changes to These Terms
We may revise these Terms from time to time. We will update the "Last updated" date above when changes are made. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
